EXPLANATORY NOTE

On November 16, 2021, the Board of Directors of Nexters Inc. (NASDAQ: GDEV) (the “Company”) approved the 2021 Employee Stock Option Plan (the “2021 ESOP”). A copy of the 2021 ESOP is attached to this Form 6-K as Exhibit 99.1.
