EXPLANATORY NOTE

On April 18, 2023, WalkMe Ltd. (the “Company”) announced that it undertook certain actions (the “Restructuring Initiatives”) to reduce operating expenses by initiating a reduction in force that is expected to impact approximately 112 employees, representing approximately 10% of the Company’s workforce.  A copy of the Company’s announcement is furnished hereto as Exhibit 99.1.

This Report on Form 6-K (other than Exhibit 99.1) is incorporated by reference into the Company’s Registration Statements on Form S-8 (File Nos. 333-257354, 333-263823 and 333-270537).
