Item 8.01. Other Events.

 

As previously disclosed on a Current Report on Form 8-K dated July 28, 2021, on August 2, 2021, International Media Acquisition Corp. (the “Company”) consummated its initial public offering (“IPO”) of 20,000,000 units (the “Units”). Each Unit consists of one share of common stock, $0.0001 par value (“Common Stock”), one right to receive one-twentieth (1/20) of a share of Common Stock upon the consummation of an initial business combination and one redeemable warrant entitling the holder thereof to purchase three-fourths (3/4) of a share of Common Stock at a price of $11.50 per whole share. The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $200,000,000. The Company granted the underwriters a 45-day option to purchase up to 3,000,000 additional Units to cover over-allotments, if any.

 

As also previously disclosed in the Current Report, simultaneously with the closing of the IPO, the Company consummated the private placement of 714,400 units (the “Private Units”) at a price of $10.00 per unit, generating total proceeds of $7,144,000.

 

As of August 2, 2021, a total of $200,000,000 of the net proceeds from the IPO and the private placement consummated simultaneously with the closing of the IPO were deposited in a trust account established for the benefit of the Company’s public stockholders.

 

An audited balance sheet as of August 2, 2021, reflecting receipt of the proceeds upon consummation of the IPO and the private placement on August 2, 2021, is included with this report as Exhibit 99.1.

 

Subsequently, on August 6, 2021, the underwriters exercised the over-allotment option in full to purchase an additional 3,000,000 Units (the “Over-Allotment Option Units”) at a price of $10.00 per unit, resulting in total gross proceeds of $30,000,000. On August 6, 2021, simultaneously with the sale of the Over-Allotment Option Units, the Company consummated the private sale of an additional 82,500 Private Units, generating gross proceeds of $825,000. The Private Units were issued pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended, as the transactions did not involve a public offering.

 

A total of $230,000,000 of the net proceeds from the sale of Units in the IPO (including the Over-Allotment Option Units) and the private placements on August 2, 2021 and August 6, 2021, were placed in a trust account established for the benefit of the Company’s public stockholders.
