SUBSEQUENT EVENTS	NOTE 10. SUBSEQUENT EVENTS The Company evaluated subsequent events and transactions that occurred after the balance sheet date up to the date that the financial statements were issued. Based upon this review, except as discussed below, the Company did not identify any subsequent events that would have required adjustment or disclosure in the financial statements. On November 14, 2022, Morgan Stanley terminated its engagement as a financial advisor to the Company with respect to the Business Combination. Effective as of November 14, 2022, Morgan Stanley’s services as financial advisor pursuant to the advisory engagement letter were terminated without liability or continuing obligation of either Morgan Stanley or the Company.

The entire disclosure for significant events or transactions that occurred after the balance sheet date through the date the financial statements were issued or the date the financial statements were available to be issued. Examples include: the sale of a capital stock issue, purchase of a business, settlement of litigation, catastrophic loss, significant foreign exchange rate changes, loans to insiders or affiliates, and transactions not in the ordinary course of business.
