Item 8.01 Other Events.

 

On July 30, 2021, Alpha Partners Technology Merger Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 25,000,000 units (the “Units”). Each Unit consists of one Class A ordinary share, $0.0001 par value per share (the “Class A Ordinary Shares”), and one-third of one warrant (the “Public Warrants”), each whole Public Warrant entitling the holder thereof to purchase one Class A Ordinary Share at an exercise price of $11.50 per share. The Units were sold at an offering price of $10.00 per Unit, generating gross proceeds of $250,000,000. The underwriters in the IPO have an option to purchase up to 3,750,000 additional Units for a period of 45 days from the date of the IPO. On August 3, 2021 the underwriters partially exercised the over-allotment option to purchase an additional 3,250,000 Units at an offering price of $10.00 per Unit for an aggregate purchase price of $32,500,000. The underwriters have the right to exercise the remaining portion of the over-allotment option during the aforementioned 45-day period. Substantially concurrently with the closing of the IPO, the Company completed the private sale (the “Private Placement”) of 800,000 (the “Private Placement Units”) at a purchase price of $10.00 per Private Placement Unit, generating gross proceeds to the Company of $8,000,000. Also, in connection with the partial exercise of the over-allotment option, the Company's sponsor, Alpha Partners Technology Merger Sponsor LLC, purchased an aggregate of 65,000 additional private placement units at a purchase price of $10.00 per private placement unit.

 

A total of $250,000,000 comprised of $245,000,000 of the net proceeds from the IPO, including $8,750,000 of the underwriters’ deferred discount, and $5,000,000 of the proceeds of the sale of the Private Placement Units, was placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee. An audited balance sheet as of July 30, 2021 reflecting receipt of the proceeds upon consummation of the IPO and the Private Placement has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K. Exhibit 99.1 to this Current Report on Form 8-K does not include proceeds from the additional Units and additional Private Placement Units purchased in connection with the over-allotment option.
