Explanatory Note

This Amendment No. 1 (this “Amendment”) to the Current Report on Form 8-K originally filed by Armada Acquisition Corp. I, a Delaware corporation (“Armada”) on April 6, 2022 (the “Original Report”), is being filed solely for the purpose of amending the transcript of the Shareholder Video furnished as Exhibit 99.2 to the Original Report under Item 7.01. This Amendment does not amend, update or change any other disclosures in the Original Report. In addition, the information contained in this Amendment does not reflect events occurring after the Original Report and does not modify or update the disclosures therein.

 

Item 7.01

Regulation FD Disclosure.

On April 6, 2022, Armada furnished a transcript of the Shareholder Video regarding the business combination between Armada and Rezolve Limited, a private limited company registered under the laws of England and Wales (“Rezolve”) (the “Business Combination”) as Exhibit 99.2 to the Original Report. Exhibit 99.2 to the Original Report, as updated to reflect the final posted version, is furnished as Exhibit 99.1 hereto.

The foregoing Exhibit 99.1 is being furnished pursuant to Item 7.01 and shall not be deemed to be filed for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into the filings of Armada under the Securities Act or the Exchange Act, regardless of any general incorporation language in such filings.

This Form 8-K relates to a proposed business combination transaction among Armada, Rezolve, and Cayman Merger Sub, Inc.
