Item 8.01 Other Events.

On September 7, 2023, GigCapital5 (the “Company”) filed a lawsuit in the Court of Chancery of the State of Delaware against QT Imaging, Inc., a Delaware corporation, (“QTI”) and QTI’s primary stockholder. The lawsuit alleges breach of contract and breach of the covenant of good faith and fair dealing on the part of QTI and its major stockholder. The lawsuit seeks specific performance, or, in the alternative, damages to remediate the Company for QTI’s alleged breach of contract and breach of covenant.
