Explanation of Responses:

1. The securities reported herein are held as units ("Units"), with each Unit consisting of one ordinary share, par value $0.001 per share ("Ordinary Share"), of the Company and one warrant to purchase one Ordinary Share at an exercise price of $11.50 per share (the "Warrants"). The Units are purchased for a total price of $3,040,000 with each Unit for $10.00.

2. Joyce Yuen Wah Chan has voting and dipositive power over the shares owned by Ace Global Investment Limited.

3. The warrants become exercisable on the later of (i) the completion of the registrant's initial business combination and (ii) 12 months from the closing of the registrant's initial public offering.

4. The warrants expire 5 years after the completion of the registrant's initial business combination or earlier upon redemption or liquidation, as described in the registrant's prospectus filed with the SEC.
