Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On August 21, 2025, Zapata Computing Holdings, Inc. (the “Company”) filed a Certificate of Amendment to its Certificate of Incorporation with the Delaware Secretary of State to change the Company’s name to “Zapata Quantum, Inc.”. The amendment became effective upon filing. A copy of the Certificate of Amendment is filed as Exhibit 3.1 to this Current Report on Form 8-K, and is incorporated herein by reference.
