Item 2.05    Costs Associated with Exit or Disposal Activities.

On August 29, 2022, Grove Collaborative Holdings, Inc. (the "Company") announced a company-wide reorganization, which included a workforce reduction of approximately 18% of the Company's corporate workforce, consisting of approximately 55 employees. The reorganization is part of the Company's previously announced efforts to reduce operating expenses and reallocate resources to initiatives that better align with the Company's goal of achieving profitability.

As a result of this workforce reduction, the Company expects to incur a pre-tax cash charge for one-time termination benefits, which consist of severance and related costs, of between approximately $1.1 million and $1.3 million in the third quarter of 2022.
