PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Dave Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2022 (the “Q2 2022 Form 10-Q”) by the prescribed due date for the reasons described below.

On August 11, 2022, the Company filed a Form 8-K (the “August 11, 2022 Form 8-K”) announcing non-reliance on its previously issued financial statements and related disclosures for the fiscal years ended December 31, 2021 and December 31, 2020 and for the three months ended March 30, 2022 and March 30, 2021 (collectively, the “Relevant Periods”) due to errors described in the August 11, 2022 Form 8-K. The Company is undertaking a restatement of its financial statements for the Relevant Periods to make the required adjustments, which will be addressed in amendments to the reports in which the financial statements for the Relevant Periods were previously presented.    

The Company is working diligently to complete the Q2 2022 Form 10-Q as soon as possible; however, given the scope of the process involved in completing the required adjustments to its financial statements, the Company is unable to complete and file the Q2 2022 Form 10-Q by the required due date of August 15, 2022 without unreasonable effort and expense. The Company does, however, expect to file such report within five calendar days thereof.
