Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 10, 2021, John Morrow notified Paymentus Holdings, Inc. (the “Company”) of his intention to resign from his position as General Counsel and Secretary of the Company and from all of his positions at the Company’s wholly owned subsidiaries, effective as of October 1, 2021. Mr. Morrow is leaving to pursue a position at a company that is not a competitor of the Company, and his departure is not related to any disagreement with the Company.
