State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report portion thereof, could not be filed within the prescribed time period.

 

Tech and Energy Transition Corporation (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2022 (the “Form 10-Q”) by the prescribed due date for the reason described below.

 

The Company has determined that it is unable to file its Form 10-Q within the prescribed time period because the Company requires additional time to prepare and review its financial statements to ensure adequate disclosure of the financial information required to be included in the Form 10-Q.

 

The Company’s Form 10-Q will be filed on or before the fifth calendar day following the prescribed due date of August 15, 2022.

The Company has not generated any operating revenues to date and will not generate any operating revenues until after completion of its initial business combination at the earliest. For the three months ended June 30, 2022, the Company estimates a net income of $3,281,543 comprised of a $2,626,000 income from changes in fair value of warrant liabilities, $548,420 income from changes in fair value of promissory note, and $397,226 of general and administrative expenses partially offset by approximately $504,349 of income on the investments held in the trust account. The foregoing estimates have not been audited and are subject to adjustment.
