Item 1.01. Entry into a Material Definitive Agreement

 

As previously disclosed, on July 1, 2021, Isos Acquisition Corporation, a Cayman Islands exempted company (“Isos”) and Bowlero Corp., a Delaware corporation (“Bowlero”) entered into a business combination agreement (the “Original BCA”) which provides, among other things, that on the terms and subject to the conditions set forth therein, Isos will be domesticated as a Delaware corporation, and Bowlero will merge with and into Isos, with Isos surviving the merger (in connection with which Isos will change its name to Bowlero Corp.). For purposes of this Current Report on Form 8-K, Isos, after completion of the business combination, is referred to as “New Bowlero”.

 

On November 1, 2021, Isos and Bowlero entered into an amendment to the BCA (the “Amendment to BCA”), which make certain changes to the forum selection provision of the certificate of incorporation of New Bowlero to be effective upon closing of the business combination.

 

The Amendment to BCA is filed as Exhibit 2.1 to this Current Report on Form 8-K and the foregoing description is qualified in its entirety by reference to the full text of the Amendment to BCA.
