State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report portion thereof, could not be filed within the prescribed time period.

Bellevue Life Sciences Acquisition Corp. (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2023 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense. The Company has experienced a delay in completing the necessary disclosures and finalizing its financial statements with its independent registered public accounting firm in connection with its Form 10-K. The Company anticipates that the Form 10-K will be filed on or before the fifteenth calendar day following the prescribed due date.

    For the year ended December 31, 2023, the Company expects to report net income of approximately $0.5 million which is comprised of interest earned on investments held in the trust account of approximately $2.8 million partially offset by general and administrative expenses of approximately $1.7 million and a provision for income taxes of approximately $0.5 million.
    For the year ended December 31, 2022, the Company had a net loss of $35,388 which was comprised of general and administrative expenses.
    The amounts reported above for the year ended December 31, 2023 are still under review by the Company’s independent registered public accounting firm and accounting staff and may differ once reported in the Form 10-K to be filed by the Company.
