RE:Falcon’s Beyond to Become a Publicly Traded Company

 

Dear Team Members,

 

I am writing to share some exciting news about our company that signifies a significant step forward in turning imagined worlds into realities. This morning, Falcon’s Beyond announced a transaction that, when completed, will result in us being a publicly traded company.

 

Technically speaking, we’ve signed a definitive agreement to combine Falcon’s Beyond with FAST Acquisition Corp. II, a publicly traded special purpose acquisition company (SPAC). Once the transaction is completed, the combined company will continued to be called Falcon’s Beyond Global and is expected to list on Nasdaq under the ticker symbol “FBYD.”

 

As we begin this next chapter of our company evolution, Scott will continue as Executive Chairman and I will continue to lead the company as Chief Executive Officer.

 

Why this transaction? Through significant visibility in the business community, it will provide critical resources for achieving the scale needed to continue to grow and build Falcon’s Beyond. The transaction will also give us the resources to advance our proprietary IP Expander flywheel, which is so vital to our future advancement.

 

Your hard work and dedication to the company, our vision, and our goals have been recognized by our new partners at FAST Acquisition Corp. II, who are extremely excited to support everyone’s individual and collective success. The life-source of our company comes from the people and their committment to success. You have been, and always will be, the most valuable part of Falcon’s.

 

What does this mean for you? For now, it’s business as usual. It is critical we all remain focused on our collective responsibilities, exciting projects and milestones in place for the remainder of 2022 and beyond.

 

In the meantime, as we work to complete this transaction, it’s crucial that no team member speaks about it on behalf of the company, to media, vendors, partners, organizations, or, even, individuals (including customers, colleagues, family, and friends). Please refrain from discussing any and all details related to the SPAC, our financial performance, or the deal announcement. This silence also applies to social media.
