I am pleased to share with you some exciting news about our company: today we announced that Allego plans to go public and the combined company will list on the New York Stock Exchange through a business combination with Spartan Acquisition Corp. III (“Spartan”) (NYSE: SPAQ).

This highly strategic transaction will provide Allego with significant additional financial resources that will enable us to fund the deployment of new public charging sites, build out our technology moat, and execute on our expansion plans. We intend to remain intensely focused on delivering public fast and ultra-fast networks and charging solutions and maintaining our commitment to operating and deploying charging solutions to our customers. We look forward to deploying our increased capital to become stronger partners to you. The transaction is subject to the satisfaction or waiver of customary closing conditions, including certain regulatory approvals and the approval of Spartan’s stockholders.

While our company’s ownership structure will change upon close of the transaction, we will continue to operate as “Allego” under my continued direction as Chief Executive Officer, with the support of our experienced management team, and our current sole shareholder, Meridiam, which intends to remain a significant shareholder and expects to roll its entire holdings into the newly public company, as it believes in our team and our future. The newly combined company is expected to be listed on the New York Stock Exchange under the new ticker symbol “ALLG” and will be positioned to grow with new financial resources as a public company.

As we enter into this new phase, we will remain focused on execution and operational excellence as we want to continue to provide our strategic partners and customers with a great experience utilizing our leading pan-European electric charging network.
