Item 1.01    Entry into a Material Definitive Agreement.

On February 6, 2024, MeridianLink, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Citigroup Global Markets Inc. and J.P. Morgan Securities LLC (collectively, the “Underwriters”), and the selling stockholders named therein (the “Selling Stockholders”).

Pursuant to the terms of the Underwriting Agreement, the Selling Stockholders agreed to sell an aggregate of 6,906,015 shares (the “Shares”) of the Company’s common stock, $0.001 par value per share (the “Common Stock”), to the Underwriters at a price per share of $18.2875 and, other than the shares repurchased by the Company pursuant to the Stock Repurchase (as defined below), will be offered at a price to the public of $19.00 (the “Offering”). In addition, the Selling Stockholders granted the Underwriters an option to purchase, for a period of 30 calendar days from February 6, 2024, up to an additional 675,000 shares of Common Stock. The Company will not receive any proceeds from the sale of the Common Stock by the Selling Stockholders. The Underwriting Agreement contains customary representations and warranties. It also provides for customary indemnification by each of the Company, the Selling Stockholders and the Underwriters against certain liabilities and customary contribution provisions in respect of those liabilities.

In connection with the Offering, the Company will purchase 2,406,015 Shares from the Underwriters at a price per share equal to $18.2875, which is equal to the per share price at which the Underwriters purchased the Shares from the selling stockholders in the Offering, resulting in an aggregate purchase price of approximately $44.0 million (the “Stock Repurchase”).

The Offering was registered under the Securities Act of 1933, as amended, pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-276336) filed on December 29, 2023, including a preliminary prospectus supplement dated February 6, 2024 and a final prospectus supplement dated February 6, 2024 (collectively, the “Registration Statement”). This Current Report on Form 8-K is being filed to incorporate the Underwriting Agreement by reference into such Registration Statement. A copy of the Underwriting Agreement is attached as Exhibit 1.1 hereto and is incorporated herein by reference. The foregoing description of the material terms of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to such exhibit.

The Underwriting Agreement and the above descriptions have been included to provide investors and security holders with information regarding the terms of the Underwriting Agreement. They are not intended to provide any other factual information about the Company or its subsidiaries, affiliates or equity holders.
