State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Iris Acquisition Corp (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2022 within the prescribed time period without unreasonable effort or expenses. As previously announced, the Company engaged a new Chief Executive Officer, Chief Financial Officer, and Vice President, effective June 26, 2022. As a result of these recent personnel changes additional time is required to finalize the financial statements and related disclosures contained in the Form 10-Q for the three-month period ended June 30, 2022. The Company expects to file the Form 10-Q within the extension period of 5 calendar days.
