Item 7.01 Regulation FD Disclosure.

 

As previously disclosed, on April 21, 2022, LMF Acquisition Opportunities, Inc., a Delaware corporation (“LMAO”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with LMF Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of LMAO (“Merger Sub”), and SeaStar Medical, Inc., a Delaware corporation (“SeaStar Medical”), pursuant to which, subject to the satisfaction or waiver of certain conditions set forth therein, Merger Sub will merge with and into SeaStar Medical (the “Merger”), with SeaStar surviving the Merger as a wholly owned subsidiary of LMAO, and with SeaStar Medical’s equity holders receiving shares of LMAO common stock (the transactions contemplated by the Merger Agreement and the related ancillary agreements, the “Business Combination”).

 

Furnished as Exhibit 99.1 hereto and incorporated herein by reference is an investor presentation that may be used from time to time by the Company in connection with the Business Combination.
