State below in reasonable detail the reasons why the Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed)

 

Kismet Acquisition Three Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2021 (the “Q3 Form 10-Q”) by the prescribed due date because the Company, its accountants and its auditors need additional time to finalize the Company’s financial statements to be included in its Form 10-Q. The Company has re-evaluated its application of ASC 480-10-S99-3A to its accounting classification of its redeemable Class A ordinary shares, par value $0.001 per share (the “Public Shares”), issued as part of the units sold in the Company’s initial public offering (the “IPO”) in February 2021. Historically, a portion of the Public Shares was classified as permanent equity to maintain net tangible assets greater than $5,000,000 on the basis that the Company will consummate its initial business combination only if the Company has net tangible assets of at least $5,000,001. Pursuant to such re-evaluation, the Company’s management has determined that the Public Shares include certain provisions that require classification of all Public Shares as temporary equity regardless of the minimum net tangible assets required to complete the Company’s initial business combination. In connection with the change in presentation of the Class A ordinary shares subject to possible redemption, the Company will revise its earnings per share calculation to allocate income and losses shared pro rata between the Class A and Class B ordinary shares.

 

In connection with this determination described above, the Company has also consulted with its other advisors and with its auditors regarding the change to the Company’s financial statements that will result from the classification of all Public Shares as temporary equity on the Company’s balance sheet. The classification of all Public Shares as temporary equity and the resulting effect on the Company’s financial statements to be included in the Company’s Q3 Form 10-Q, as well as the restatements of the Company’s previously issued (i) audited balance sheet as of February 22, 2021, as previously restated in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2021, filed with the U.S. Securities and Exchange Commission (the “SEC”) on June 25, 2021 (the “Q1 Form 10-Q”), (ii) unaudited interim financial statements included in the Q1 Form 10-Q and (iii) unaudited interim financial statements included in the Company’s Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2021, filed with the SEC on August 13, 2021 to classify all Public Shares as temporary equity, has caused a delay in the completion of the Q3 Form 10-Q.
