The reported sale occurred automatically pursuant to a Rule 10b5-1(c) trading plan adopted by the reporting person on December 15, 2022. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $6.89 to $6.94, inclusive. The reporting person undertakes to provide to Rover Group, Inc., any security holder of Rover Group, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote. The reporting person was granted 30,000 RSUs on November 2, 2021, 137,497 RSUs on March 6, 2022, 314,253 RSUs on September 7, 2022, and 553,047 RSUs on March 13, 2023. On September 1, 2023, 1/16th of each of these RSU grants vested. For each of these RSU grants, 1/16th of the RSUs shall vest on the first of the month every March, June, September and December until fully vested and subject to continued service through each vesting date.
