Item 7.01. Regulation FD Disclosure.

On March 16, 2021, Rover provided an update on its pet services booking trends.

Rover has started to see signs of a recovery in Pet Parent travel in January, February and the first half of March, 2021, which is contributing to an improvement in monthly gross booking value (GBV) trends. For January, February and the first fifteen days of March, 2021 GBV was (55%), (45%) and (0%), respectively, compared to the corresponding periods in 2020. For January, February and the first fifteen days of March, 2021 GBV was (45%), (33%) and (14%), respectively, compared to the corresponding periods in 2019. In addition, for the week ending March 13th, 2021, GBV was at its highest level in the last twelve months. Rover believes the improvement in GBV trends is the result of a recovery in travel and increased pet adoption in 2020.

Attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference is the presentation to be used by Caravel for certain of Caravel’s stockholders and other persons on March 17, 2021. In connection with the Proposed Transaction (as defined below), Caravel filed with the SEC on February 12, 2021 a registration statement on Form S-4 that includes a proxy statement for the stockholders of Caravel that also constitutes a prospectus with respect to the shares of Caravel Common Stock to be offered and sold to the stockholders of Rover.
