Poshmark, Inc. (the “Registrant”) registers hereunder its Class A common stock, par value $0.0001 per share (the “Class A Common Stock”). A description of the Registrant’s Class A Common Stock is incorporated by reference herein from the information set forth under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-251427), as initially filed with the Securities and Exchange Commission (the “Commission”) on December 17, 2020, as amended (the “Registration Statement”), under the Securities Act of 1933, as amended (the “Securities Act”).
