Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 20, 2021, Gregory Belinfanti resigned from the Board of Directors (the “Board”) of One Equity Partners Open Water I Corp. (the “Company”). Mr. Belinfanti advised the Company that his decision to resign was not the result of any disagreement with the Company or its management on any matter relating to the Company’s operations, policies or practices. Following Mr. Belinfanti’s resignation, the Board is composed of a majority of independent directors.
