Item 8.01.Other Events.

 

On March 17, 2021, Owl Rock Capital issued a press release announcing that it has received the approval from the shareholders of each of its four requisite business development companies for new investment advisory agreements necessary due to the indirect change of control of their respective investment advisors which will occur in connection with the completion of the transactions contemplated by the Business Combination Agreement announced by Altimar Acquisition Corporation (“Altimar”) on December 23, 2020.

Additional Information and Where to Find It

Altimar has filed a registration statement on Form S-4 with the Securities and Exchange Commission (the “SEC”), which includes a proxy statement and a prospectus of Altimar, and each party will file other documents with the SEC regarding the proposed transaction. A definitive proxy statement/prospectus will also be sent to the stockholders of Altimar, seeking any required stockholder approval.
