PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

DPCM Capital, Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2021 (the “Form 10-Q”) by the prescribed due date for the reasons described below.

In connection with the preparation of the financial statements to be included in the Form 10-Q, the Company’s management identified potential errors made in the Company’s historical financial statements where, at the closing of the Company’s initial public offering on October 23, 2020, the Company may have improperly valued its Class A common stock subject to possible redemption. The Company is currently determining the extent of the impact of such potential errors on its financial statements and working with its accountants and independent registered public accounting firm to determine whether the Company’s historical financial statements should be restated.

As a result, additional time is needed for the Company to complete the Form 10-Q and permit the Company’s independent registered public accounting firm to complete its review. The Company is working diligently to complete the Form 10-Q as soon as possible.
