We have examined the Registration Statement on Form S-3, File No. 333-263264 (the “Registration Statement”), of Affirm Holdings, Inc., a Delaware corporation (the “Company”), filed with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended (the “Securities Act”), and the prospectus supplement, dated March 3, 2022, filed with the Commission on March 3, 2022 pursuant to Rule 424(b) of the Securities Act (the “Prospectus Supplement”) in connection with the offering of up to 22,000,000 shares of the Company’s Class A common stock, par value $0.00001 per share, (the “Shares”).
