Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2022, in a move to accelerate the development of the Neutron launch vehicle, Shaun O’Donnell assumed a new position within Rocket Lab USA, Inc. (the “Company”). Mr. O’Donnell moved from Executive Vice President, Global Operations to serve as the Company’s Chief Engineer, Special Programs, where he will focus on Neutron launch vehicle development and other significant technical projects within the Company. As a result of his new role, Mr. O’Donnell no longer serves as an executive officer of the Company.
