Item 2.02.    Results of Operations and Financial Condition.
On August 12, 2021, Wheels Up Experience Inc. (“Wheels Up”) issued a press release announcing financial results for Wheels Up Partners Holdings LLC (“WUP”) for the second fiscal quarter ended June 30, 2021. On July 13, 2021, WUP completed its business combination with Aspirational Consumer Lifestyle Corp. (the “Business Combination”). The historical financial information in the press release relates to WUP’s operations prior to the Business Combination. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
