("Merger Sub") with and into Foley Trasimene Acquisition Corp. II (the "Issuer") pursuant to that certain Agreement and Plan of Merger, dated as of December 7, 2020, between, Paysafe Limited ("Paysafe Limited"), the Issuer, Merger Sub and the other parties thereto (the "Merger Agreement"), 25,000 shares of Class A Common Stock of the Issuer, par value $0.0001 ("Class A Common Stock") were disposed of in exchange for the same number of common shares of Paysafe Limited. The shares of Class B Common Stock, par value $0.0001 (the "Class B Shares"), of the Issuer have no expiration date and are convertible into shares of Class A Common Stock as described under the heading "Description of Securities-Founder Shares" in the Issuer's registration statement on Form S-1 (File No. 333-240285). Forfeited to the Issuer for no consideration prior to the closing of the Merger. In connection with the Merger, 19,555 Class B Shares were disposed of in exchange for the same number of common shares of Paysafe Limited.
