Explanation of Responses:

1. These Class A ordinary shares, par value $0.0001 per share, of the Issuer ("Ordinary Shares") are owned by Nomura Global Financial Products Inc. ("NGFP"), a wholly-owned subsidiary of Nomura Holdings, Inc., which accordingly may also be deemed to beneficially own the securities owned by NGFP.

Remarks:

This Form 3 is being filed solely due to the redemption of 53,350,554 Ordinary Shares by shareholders other than the Reporting Persons, as announced by the Issuer in a current report on Form 8-K filed on September 22, 2022 (the "Redemptions"). After the Redemptions, the Reporting Persons' aggregate beneficial ownership was above 10%. The Reporting Persons have not acquired and have not sold Ordinary Shares or any other equity securities of the Issuer since being pushed over 10% due to the Redemptions.
