Item 7.01 Regulation FD Disclosure.

 

On March 25, 2021, Clarus Therapeutics, Inc., a Delaware corporation (“Clarus”) issued a press release announcing the execution of a Strategic License Agreement (“Licensing Agreement”) with HavaH Therapeutics Pty Ltd., an Australia-based biopharmaceutical company (“HavaH”), whereby Clarus will acquire the exclusive worldwide (excluding Australia) development and commercialization rights for CLAR-121, a proprietary testosterone treatment for inflammatory breast diseases and certain forms of breast cancer.

 

A copy of the press release announcing the Licensing Agreement is attached as Exhibit 99.1 hereto and incorporated by reference.
