This email was supplied to CureVac employees to share with investigators. Both English and German versions of this email were provided.

Dear [Insert Investigator Contact Name],

We recently announced that CureVac has entered into a definitive Purchase Agreement with BioNTech, pursuant to which BioNTech intends to acquire all of the shares of CureVac. This transaction will bring together two pioneers in mRNA research and development, both founded and headquartered in Germany and united by a shared belief in the power of science and the possibilities of mRNA to change lives. For more information and important disclaimers, please refer to the press release that we issued jointly with BioNTech earlier today.

BioNTech is a global next-generation immunotherapy company developing multiple mRNA vaccine candidates for a range of infectious diseases alongside its diverse oncology pipeline. Its broad portfolio of oncology product candidates includes individualized and off-the-shelf messenger RNA (mRNA)-based therapies, innovative chimeric antigen receptor (CAR) T cells, several protein-based therapeutics, including bispecific immune checkpoint modulators, targeted cancer antibodies, and antibody-drug conjugate (ADC) therapeutics.

The decision to join BioNTech is anchored in a fundamental belief: together, we can fully realize the transformative potential of mRNA medicine. While CureVac has developed one of the most advanced mRNA technology platforms in the world, BioNTech brings a shared vision, strong pipeline, deep resources, and global reach to this transaction.

What does this mean for our relationship?

Most importantly, business will continue as usual at CureVac until the transaction closes, which is expected in 2025. Until then, CureVac remains fully independent, and our immediate priorities do not change. We will continue to focus on executing our strategy, advancing our science, and progressing our clinical programs to generate innovative therapies for patients. Also, your CureVac points of contact will remain unchanged.

Following the closing of the transaction and as part of the integration, BioNTech is expected to include CureVac’s candidates into its pipeline and actively manage them according to key criteria that apply for all candidates including strategic alignment, data, operational efficiency, and sustainable value creation.

To both BioNTech and CureVac, it is important to ensure that enrolled patients in ongoing clinical trials will continue to receive treatments.

We are incredibly excited about what we can achieve by uniting CureVac with BioNTech and firmly believe that this decision can create new opportunities for both our companies, the medical community, and for people and patients.

Thank you for your continued support and partnership to progress our clinical programs. We will continue to keep you apprised of any developments. Please do not hesitate to reach out to [your usual point of contact] with any questions or concerns.

Yours sincerely,
