Our common stock is currently quoted on the Nasdaq Stock Market under the symbol “ASRT.” The purchase price is higher than the "minimum price," as defined in Nasdaq Listing Rule 5635(d), based on the average Nasdaq Official Closing Price of our common stock for the five trading days immediately preceding the signing of the Purchase Agreement. On February 11, 2021, the last reported sale price per share of our common stock on the Nasdaq Stock Market was $1.09.

ABOUT THE COMPANY

 

We are a commercial pharmaceutical company offering differentiated products to patients. Our commercial portfolio of branded products focuses on three areas: neurology; hospital; and pain and inflammation. We have built our commercial portfolio through a combination of increased opportunities with existing products, as well as through the acquisition or licensing of additional approved products. Our objective is to diversify beyond our current portfolio, which is composed of prescription nonsteroidal anti-inflammatory drugs. On May 20, 2020, we completed a merger with Zyla Life Sciences (“Zyla”) pursuant to the Agreement and Plan of Merger (the “Merger Agreement”) dated March 16, 2020 (the “Merger”).  Prior to the Merger, pursuant to the Merger Agreement, we completed a corporate reorganization whereby Assertio Holdings, Inc. became the parent company of wholly-owned Assertio Therapeutics, Inc. and was deemed successor issuer to Assertio Therapeutics, Inc. under applicable securities laws.   Assertio Therapeutics, Inc. and Zyla are now both wholly-owned subsidiaries of the Company. DILUTION 

 

If you purchase shares in this offering, your ownership interest will be diluted to the extent of the difference between the public offering price per share and the as-adjusted net tangible book value per share after this offering. The net tangible book value of our common stock on September 30, 2020, as adjusted to account for the February 5 Offering, was approximately $(126.7) million, or approximately $(0.98) per share of common stock based on approximately 129,774,781 shares outstanding. We calculate net tangible book value per share by dividing the net tangible book value, which is tangible assets less total liabilities, by the number of outstanding shares of our common stock.

 

After giving effect to the sale of the common stock pursuant to this prospectus supplement in the aggregate amount of approximately $34.3 million, assuming the sale of all of the shares offered hereunder at the offering price of 0.98 per share, and after deducting placement agent fees and estimated aggregate offering expenses payable by us, our net tangible book value as of September 30, 2020 would have been approximately $(94.6) million, or $(0.57) per share of common stock. This represents an immediate increase in net tangible book value of $0.41 per share to our existing stockholders and an immediate dilution in net tangible book value of $1.55 per share to new investors. Roth Capital Partners, LLC is acting as the placement agent in connection with this offering, subject to the terms and conditions of a Placement Agency Agreement dated as of February 10, 2021. The placement agent is not purchasing or selling any of the shares of common stock offered by this prospectus supplement, nor is the placement agent required to arrange the purchase or sale of any specific number or dollar amount of the shares of common stock. The placement agent has agreed to use reasonable best efforts to arrange for the sale of all of the shares of common stock offered hereby. Therefore, we may not sell the entire amount of the shares offered pursuant to this prospectus supplement. The placement agent may engage one or more sub-agents or selected dealers in connection with this offering.

 

We will enter into a securities purchase agreement directly with certain institutional investors, at the investors’ option, who purchase our shares of common stock in this offering. This agreement includes representations and warranties by us and such purchasers.

 

We will deliver the shares of common stock being issued to the investors upon receipt of investor funds for the purchase of the shares of common stock offered pursuant to this prospectus supplement. We have agreed to pay the placement agent an aggregate cash placement fee equal to 6.0% of the gross proceeds received at the closing from the sale of the shares of common stock offered hereby.

Because there is no minimum offering amount required as a condition to closing in this offering, the actual aggregate cash placement fee, if any, is not presently determinable and may be substantially less than the maximum amount set forth above. In addition, we have agreed to reimburse the placement agent up to $40,000 for certain out-of-pocket fees and expenses. We estimate that the total expenses of the offering payable by us, excluding the placement agent fees, will be approximately $100,000.

 

Lock-Up Agreements

 

We have agreed not to offer, pledge, sell, contract to sell, grant any option or contract to purchase, purchase any option or contract to sell, or otherwise dispose of, directly or indirectly, any common stock or any securities convertible into, exercisable for, or exchangeable for common stock, or enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of the common stock for a period of sixty (60) days after the closing date of this offering, subject to specified exceptions. The purchasers party to the securities purchase agreements may, in their sole discretion and without notice, waive the terms of the lock-up agreement.

 

Pursuant to lock-up agreements dated February 5, 2021, our executive officers and directors have agreed, subject to specified exceptions, not to directly or indirectly:

 

sell, offer to sell, contract to sell, effect any short sale, pledge, transfer, establish a “put equivalent position” within the meaning of Rule 16a-l(h) under the Exchange Act;

 

otherwise dispose of, or enter into any swap, hedge or similar arrangement that transfers, in whole or in part, the economic risk of ownership of, any shares of common stock, options or warrants to acquire shares of common stock, or securities exchangeable or exercisable for or convertible into shares of common stock currently or hereafter owned either of record or beneficially;

Subject to specified exceptions, the lock-up restrictions terminate after the close of trading of the common stock on and including the 60th day after the closing date of the February 5 Offering.

The public offering price of the shares of common stock we are offering was negotiated between us and the investors, in consultation with the placement agent based on the trading of our common stock prior to the offering, among other things. Other factors considered in determining the public offering price of our common stock we are offering include our history and prospects, the stage of development of our business, our business plans for the future and the extent to which they have been implemented, an assessment of our management, general conditions of the securities markets at the time of the offering and such other factors as were deemed relevant.

 

Indemnification

 

We have agreed to indemnify the placement agent against liabilities under the Securities Act. We have also agreed to contribute to payments the placement agent may be required to make in respect of such liabilities.

 

The placement agent may be deemed to be an underwriter within the meaning of Section 2(a)(11) of the Securities Act, and any commissions received by it and any profit realized on the resale of the shares sold by it while acting as principal might be deemed to be underwriting discounts or commissions under the Securities Act.
