Briefly, HEIC is a special purpose acquisition company (SPAC) that is publicly traded on NASDAQ. The nature of the transaction is a merger, where we expect to combine with HEIC and then trade publicly under the new ticker symbol “TALK”. HEIC will be a tremendous partner for us, with very deep experience in healthcare and innovation. While this merger will provide us with additional resources to expand our capabilities and support our members and providers, little will change day-to-day. There will be no substantive changes to our business model, including contractual terms and the guidelines under which you work with members.
