10. COMMITMENTS AND CONTINGENCIES

From time to time, the Company is subject to claims and suits arising in the ordinary course of business. The Company accrues such liabilities when they are known, if they are deemed probable and can be reasonably estimated.

During 2019 the Company was involved in litigation with its former chief executive officer related to arbitration and the value of vested common shares. In October 2019, the Company reached a settlement resulting in a charge of $3,466, which was included in general and administrative expense in the Company’s consolidated results of operations for the year ended December 31, 2019.
