Departure of Jason Roswig
This Amendment to the Current Report on Form 8-K that Skillz Inc. (“Company”) filed with the SEC on January 9, 2024 (the “Original Filing”), provides information that was not available at the time of the Original Filing regarding the Consulting, Services and Release Agreement (the “Agreement”) between Company and Mr. Roswig. On February 8, 2024, Company and Mr. Roswig finalized the terms of the Agreement. Under the Agreement, Mr. Roswig will provide consulting services to Company through April 8, 2024 and Company will provide to Mr. Roswig a weekly salary of $9,615.38 through April 8, 2024, continuation of health and welfare benefits via COBRA through April 8, 2024, and a lump sum payment of $250,000.
