Explanatory Note

On November 28, 2022, Flora Growth Corp., a corporation under the laws of the Province of Ontario (the “Company”), issued a press release providing a business update and announcing its financial results for the three and nine months ended September 30, 2022. A copy of that press release is furnished as Exhibit 99.1 to this Report on Form 6-K.

The unaudited interim condensed consolidated financial statements for the Company as of September 30, 2022 and for the three and nine month periods ended September 30, 2022 and 2021 are furnished as Exhibits 99.2 to this Report on Form 6-K.
