Initial Public Offering	Note 4 — Initial Public Offering On December 23, 2020, the Company sold 13,800,000 Units at a price of $10.00 per Unit, including the issuance of 1,800,000 Units as a result of the underwriters’ full exercise of their over-allotment option (the “Public Units”). Each Public Unit consists of (i) one public subunit, which consists of one Public Share and one-half of one public warrant, and (ii) one-half of one public warrant. Each whole warrant entitles the holder to purchase one share of common stock at a price of $11.50 per share. (see Note 8).
