Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2022, Ruth Zukerman, a member of the Board of Directors (the “Board”) of F45 Training Holdings Inc. (the “Company”), notified the Company that she was resigning from the Board effective February 13, 2022. At the time of her resignation, Ms. Zukerman served on the Nominating and Corporate Governance Committee of the Board. Ms. Zukerman is resigning from the Board as she has accepted a new role with the Company as General Manager of Avalon House and Malibu Crew. Ms. Zukerman’s resignation is not the result of any disagreement with the Company relating to its operations, policies or practices or with its Board or management.
