Item 1.01. Entry into a Material Definitive Agreement.

Morgan Stanley Direct Lending Fund (the "Company"), as borrower, provided written notice (the “Commitment Reduction Notice”) of its intent to reduce the amount of the revolving commitment to $160 million from $235 million in accordance with and as permitted under that certain revolving credit agreement by and among the Company, the financial institutions that from time to time become parties thereto and CIBC, as administrative agent (as amended, the “Credit Facility”). The other terms of the Credit Facility were not changed. Such reduction in the revolving commitment under the Credit Facility pursuant to the Commitment Reduction Notice was effective as of December 23, 2022.

On or before December 31, 2022, the maturity date of the Credit Facility, the Company expects to repay the Credit Facility and that the Credit Facility will terminate in accordance with its terms.

Item 3.02. Unregistered Sales of Equity Securities.

On December 13 2022, the Company delivered a capital drawdown notice to its stockholders relating to the sale of approximately 4,795,558 shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), for an aggregate offering price of approximately $95 million. The sale closed on December 23, 2022.

The sale of Common Stock was made pursuant to subscription agreements entered into by the Company and its stockholders. Under the terms of the subscription agreements, stockholders are required to fund drawdowns to purchase shares of Common Stock up to the amount of their respective capital commitments on an as-needed basis with a minimum of eight business days’ prior notice to stockholders.

The issuance of the Common Stock is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Section 4(a)(2) thereof and Regulation D thereunder. The Company relied, in part, upon representations from the stockholders in the subscription agreements that each stockholder was an accredited investor as defined in Regulation D under the Securities Act.

On December 29, 2022, the Company disclosed the below information.

Dividends

On December 20, 2022, the board of directors of the Company declared a dividend to stockholders in the amount of $0.50 per share, representing an annualized dividend yield of approximately 9.8%(1). The dividend will be payable on or around January 25, 2023 to stockholders of record as of December 20, 2022.

Re: Reduction of Commitment for Credit Facility for Morgan Stanley Direct Lending Fund

Reference is made to that certain Credit Agreement dated as of December 31, 2019 (as amended pursuant to Amendment No. 1 to Credit Agreement and Lender Joinder dated as of February 3, 2020, as further amended pursuant to Amendment No. 2 to Credit Agreement dated as of November 17, 2020, and as further amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”; unless otherwise defined herein, terms defined in the Credit Agreement and used herein shall have the meanings given to them in the Credit Agreement), among Morgan Stanley Direct Lending Fund, a Delaware corporation (the “Company”), the financial institutions that are or may from time to time become parties thereto and CIBC Bank USA, as administrative agent for the Secured Parties (the “Administrative Agent”).

Pursuant to Section 6.1.1 of the Credit Agreement, the Company hereby requests a permanent reduction in the amount of the Revolving Commitment to $160,000,000, effective immediately but in any event no later than December 23, 2022.
