7. Stockholders' Equity

Preferred Stock

There were no issued and outstanding shares of preferred stock as of September 30, 2022 and December 31, 2021.

Common Stock

The Company was authorized to issue up to 190,000,000 shares of common stock as of September 30, 2022 and December 31, 2021, of which 32,834,682 and 32,792,867 shares were issued as of September 30, 2022 and December 31, 2021, respectively, 32,588,140 and 32,222,881 shares were outstanding at September 30, 2022 and December 31, 2021, respectively. The difference between shares issued and shares outstanding represents unvested restricted common stock issued pursuant to standalone restricted stock purchase agreements (refer to Note 8 - Stock-Based Compensation).

The voting, dividend and liquidation rights of the holders of the common stock are subject to and qualified by the rights, powers and preferences of the holders of the preferred stock.

Voting—Each holder of outstanding shares of common stock shall be entitled to one vote in respect of each share.
