Preferred Stock

There were no issued and outstanding shares of preferred stock as of June 30, 2022 and December 31, 2021.

Common Stock

The Company was authorized to issue up to 190,000,000 shares of common stock as of June 30, 2022 and December 31, 2021, of which 32,825,679 and 32,792,867 shares were issued as of June 30, 2022 and December 31, 2021, respectively, 32,483,883 and 32,222,881 shares were outstanding at June 30, 2022 and December 31, 2021, respectively. The difference between shares issued and shares outstanding represents unvested restricted common stock issued pursuant to standalone restricted stock purchase agreements (refer to Note 8 - Stock-Based Compensation).

Voting, dividend and liquidation rights of the holders of the common stock are subject to and qualified by the rights, powers and preferences of the holders of the preferred stock.

Voting—Each holder of outstanding shares of common stock shall be entitled to one vote in respect of each share.
