EX-99.1 2 ea134931ex99-1_newbornacqu.htm PRESS RELEASE DATED FEBRUARY 8, 2021

Exhibit 99.1

Newborn Acquisition Corp. Postpones Extraordinary General Meeting to February 18, 2021

and Urges All Shareholders to Vote Promptly “FOR” the Extension Amendments

February 8, 2021 -- Newborn Acquisition Corp. (“Newborn” or the “Company”) (NASDAQ:NBAC), today announced the Board of Directors has decided to postpone the Extraordinary General Meeting until February 18, 2021 at 8:00 a.m., Hong Kong Time (7:00 p.m. Eastern Time on February 17, 2021) in order to provide additional time to solicit proxies to approve the Extension Amendments.

The trust amendment proposal requires the affirmative vote of holders of at least 50% of the ordinary shares sold in the Company’s IPO. It is often difficult to get retail stockholders to vote, especially stockholders that no longer own the Company’s stock, but retain the voting rights as of the record date and are still eligible to vote.  The Company reminds all shareholders as of the January 15, 2021 record date, whether you still own the shares or not, that your vote is important, no matter how many shares you own, and urges its shareholders who have not voted to do so as soon as possible.

“We appreciate that so many of Newborn’s shareholders have voted overwhelmingly in favor of the extension amendments. However, many of our 19,000 shareholders hold relatively small positions, so it is critical for the holders with smaller positions to vote and offset the impact of those who are unreachable or not participating in the process,” stated Wenhui Xiong , Chairman and CEO.

The Extraordinary General Meeting will be held at Room 801, Building C, SOHO Square, No. 88, Zhongshan East 2nd Road, Huangpu District, Shanghai, 200002, China. Due to the coronavirus (“COVID-19”) pandemic and the various travel and other restrictions in place, we are strongly encouraging our shareholders to attend the Extraordinary General Meeting virtually by means of a teleconference using the dial in instructions in the proxy statement.

Please note that if your shares are held at brokerage firm or bank, your broker will not vote your shares for you. You must cast the vote. If you are a stockholder of record as of January 15, 2021, the record date for the Extraordinary General Meeting, and need assistance voting your shares, please contact Advantage Proxy, Inc. toll free at 1-877-870-8565, collect at 1-206-870-8565 or by email to ksmith@advantageproxy.com.
