Explanation of Responses:

1. Represents restricted stock units that vest on the first anniversary of the grant date. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

2. The Reporting Person disclaims beneficial ownership of all 33,333 shares of common stock held by The Cleary Family Trust (the "Trust"). The Reporting Person's children are the beneficiaries of Trust and the Reporting Person's spouse, along with two appointed attorneys, serve as the trustees of the Trust.

3. The option vests on the first anniversary of the grant date.
