EXPLANATORY NOTE

This Report of Foreign Private Issuer on Form 6-K/A (this “Amended Report”) is furnished to amend the Report of Brooge Energy Limited (the “Company”) furnished to the Securities and Exchange Commission on January 5, 2023 (the “Original Report”). This Amended Report amends the Original Report to include the resignation letter of PricewaterhouseCoopers (Dubai branch), the independent registered public accounting of the Company.

A copy of the resignation letter has been filed as an Exhibit to this Current Report on Form 6-K as Exhibit 16.1
