As previously announced, Pivotal Investment Corporation II, a Delaware corporation (“Pivotal”), entered into an Agreement and Plan of Reorganization (the “Merger Agreement”) by and among Pivotal, PIC II Merger Sub Corp., a Delaware corporation and wholly-owned subsidiary of Pivotal (“Merger Sub”), and XL Hybrids, Inc., a Delaware corporation (“XL”). On November 16, 2020, Tod Hynes, Founder and Chief Strategy Officer of XL, participated in a webinar hosted by IPO Edge. A copy of the transcript from Mr. Hynes’ portions of the webinar is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
