Item 8.01 Other Events.

 

February 2024 Distributions

 

On February 29, 2024, ExchangeRight Income Fund, doing business as ExchangeRight Essential Income REIT (the “Company”), declared distributions in the amount of $0.1449 per share for each class of its outstanding common shares of beneficial interest (“Common Shares”). The distributions for each class of Common Shares were payable to shareholders of record immediately following the close of business on February 29, 2024 and will be paid in cash or reinvested in the Company's Common Shares through the Company's Dividend Reinvestment and Direct Share Purchase Plan (the “DRIP”) on or about March 15, 2024.

 

Status of Private Offering

 

The Company is currently conducting a private placement offering on a continuous basis of up to $2.165 billion of Common Shares (the “Private Offering”). Pursuant to the Private Offering, the Company is offering its Class I, Class A, and Class S Common Shares. As of February 29, 2024, the Company has issued an aggregate of 16,361,889 Common Shares in the Private Offering for total consideration of $444.9 million. Of these issued Common Shares, 5,596,941 Class I Common Shares and 10,066,810 Class A Common Shares remained outstanding as of February 29, 2024. As of February 29, 2024, there was up to $1.494 billion of Common Shares available for future issuance in the Private Offering, before selling commissions and expenses after calculating capital raised from other sources and the issuance of common units of limited partnership interest (“OP Units”) in ExchangeRight Income Fund Operating Partnership, LP, the Company’s operating partnership (the “Operating Partnership”). The Company intends to continue selling Common Shares in the Private Offering on a monthly basis.

 

Dividend Reinvestment and Direct Share Purchase Plan

 

For the February 29, 2024 declared distributions described above, holders of Common Shares and holders of Class I OP Units of the Operating Partnership have elected 10.1% of the aggregate declared distributions on Common Shares and Class I OP Units to be reinvested back into the Company's Common Shares based on elections by the individual shareholders and unitholders. These distributions were reinvested in the Company's Common Shares on or about March 15, 2024.

The DRIP generally permits shareholders of the Company to elect to have some or all of their cash distributions in respect of the shareholder’s Common Shares to be automatically reinvested in additional Common Shares. Any cash distributions attributable to the class of Common Shares owned by participants in the DRIP will be reinvested in Common Shares on behalf of the participant on the business day such distribution would have been paid to such investor. In addition, holders of the Class I OP Units may elect to reinvest their cash distributions from the Operating Partnership and make optional cash purchases of our Class I Common Shares.

 

 

ExchangeRight Tax-Efficient Growth and Income Fund, LLC

On February 23, 2024, ExchangeRight Tax-Efficient Growth and Income Fund, LLC (the "Fund") was formed for the primary purpose of investing in the Company through the acquisition of Class I Common Shares. The Fund will not participate in the Company’s share repurchase program in exchange for a participation right in ExchangeRight Income Fund GP, LLC, a wholly-owned subsidiary of ExchangeRight, special limited partner interest in the Operating Partnership that entitles it to receive an incentive fee of 20% of all amounts otherwise available for distribution from the Operating Partnership to holders of OP Units, after holders of OP Units have received a 7% non-compounded annual return on all such capital contributions and a return of all capital contributions with respect to such OP Units. As part of this investment, the Fund has produced a pro forma financial projection for purposes of illustrating potential return scenarios with regards to its strategy to prospective investors (the “Pro Forma”). As this information includes underlying assumptions regarding the Company, the Pro Forma is being included as Exhibit 99.1.
