Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers


On November 14, 2019 Gustavo Adolfo Ferreira Ribeiro informed the registrant of his intention to resign as President of Airfox Serviços E Intermediações Ltda. (“Airfox Brazil”) and as an officer of, or in any other capacity with, all Airfox Brazil and CarrierEQ, Inc. d/b/a Airfox entities. Mr. Ribeiro has not yet provided the registrant with a definitive resignation date. The registrant will file an amendment to this Form 8-K once a definitive resignation date is obtained.
